# Perfection of Transfer & Charge Malaysia 2026: Legal Costs & MOT

**Perfection of Transfer & Charge Malaysia 2026: Legal Costs & MOT**

Perfection of transfer means registering a Memorandum of Transfer (Form 14A) that moves your individual strata or land title from the developer's name into yours once the title is issued. Perfection of charge registers your bank's charge (Form 16A) on that same title. Under the Solicitors' Remuneration Order 2023, a lawyer who acted on your original purchase may charge no more than 25% of the scale fee for this work; a new lawyer may charge up to 50%.

When you buy a new launch property from a developer in Malaysia, the land is usually still under a single **master title** in the developer's name. You sign the SPA, your bank takes a deed of assignment over your rights, and you may get the keys long before an individual title exists. Once the land office issues the individual strata or land title, often years after vacant possession (VP), you and your bank complete a conveyancing step known as **Perfection of Transfer** and **Perfection of Charge**. If you are still comparing [new launches](/new-projects), ask the developer how far the strata title application has progressed.

Understanding what Perfection of Transfer (Form 14A) and Perfection of Charge (Form 16A) involve, how lawyers price them under the **Solicitors' Remuneration Order (SRO) 2023**, and when Memorandum of Transfer (MOT) stamp duty is payable helps you avoid surprise bills and delays when you later sell or refinance.

This 2026 guide explains the steps, the legal fee rules, MOT stamp duty and the questions to ask your developer and lawyer.

## 1. Defining Perfection of Transfer vs. Perfection of Charge

### 1. Perfection of Transfer (POT)
**Perfection of Transfer** is the legal process of transferring the ownership of an individual strata title or land title from the developer's name to the purchaser's name at the land registry. Until it is registered, the developer remains the registered proprietor, even though you have paid in full and hold the keys.
- **Key Form:** Form 14A (Memorandum of Transfer) under the National Land Code.
- **Perfection vs MOT:** "MOT" is the Form 14A document itself. "Perfection" is the whole process of getting it signed by the developer, stamped and registered.

### 2. Perfection of Charge (POC)
If you financed your purchase with a housing loan, the bank's security before the title is issued is an assignment of your rights under the SPA. Once the title exists, the bank requires a registered charge on it.
- **Key Form:** Form 16A (Charge, often called the Memorandum of Charge). Once registered, the bank holds a legal charge over the property as collateral and usually keeps the issue document of title until the loan is settled.

## 2. Step-by-Step Legal Perfection Timeline

```
Title issued -> Developer notifies buyer and bank -> Sign Form 14A & Form 16A -> Developer executes Form 14A -> Stamp Form 14A (LHDN) -> Present at land office -> Register transfer and charge
```

1. **Notice of Title Issuance:** The developer notifies the owner and the bank's lawyer that the individual titles are ready.
2. **Executing Documents:** The purchaser signs Form 14A (transfer) and Form 16A (charge) before a lawyer or other authorised witness.
3. **Developer Execution:** The developer signs Form 14A as the transferor and releases the documents. Developers often ask for an administration fee or reimbursement of disbursements at this stage; check what your SPA allows before paying.
4. **LHDN Stamp Duty Stamping:** Form 14A is submitted to LHDN (through e-Duti Setem) for ad valorem stamp duty assessment, unless an exemption or the RM10 cap applies.
5. **Land Registry Presentation:** The lawyers present the transfer and charge together at the land office for registration. After registration, the title shows you as owner and the bank as chargee.

How long this takes depends on the land office and on how quickly the developer releases documents, so ask your lawyer for a realistic estimate rather than relying on a fixed timeline.

## 3. Scale Legal Fees & MOT Stamp Duty Rates (SRO 2023 Rules)

### Scale Legal Fees for Perfection (25% Discount Rule)
The SRO 2023 caps perfection fees as a share of the normal scale fee:

| Who does the perfection | Fee cap |
| :--- | :--- |
| The lawyer who handled your original purchase before the title was issued | Not more than **25%** of the applicable scale fee, subject to the minimum fee |
| A different lawyer who did not handle the original purchase | Not more than **50%** of the applicable scale fee, subject to the minimum fee |

(Source: Solicitors' Remuneration Order 2023, Sixth Schedule Rules 2 and 3, as set out in Malaysian Bar Circular No 258/2023; checked 1 Oct 2026.)

**Worked example (RM500,000 home, RM450,000 loan), using the Table A scale:**
- The full scale fee on a RM500,000 transfer is RM6,250 (1.25% of the first RM500,000). The perfection cap is RM1,562.50 for your original lawyer or RM3,125 for a new lawyer.
- The full scale fee on a RM450,000 loan is RM5,625. The perfection of charge cap is RM1,406.25 or RM2,812.50.
- These are maximums. Add 8% service tax on the fee, plus disbursements such as searches, registration fees and courier costs. If your purchase came under the Housing Development Act, ask whether your lawyer applies the lower Table B developer scale, which reduces the figures further.

### Tiered MOT Stamp Duty Rates (LHDN)
For Malaysian citizens and permanent residents, MOT stamp duty is charged in tiers:
- **First RM100,000 Property Value:** 1%
- **RM100,001 to RM500,000:** 2%
- **RM500,001 to RM1,000,000:** 3%
- **Amounts Exceeding RM1,000,000:** 4%

Foreign individuals and foreign companies buying residential property pay a flat 8% on transfers executed from 1 January 2026. (Source: Stamp Act 1949, First Schedule item 32(ab), inserted by the Finance Act 2025 for Budget 2026, as cited in our stamp duty guide; checked 1 Oct 2026.)

Three rules matter at perfection:
- **Which date the value is taken from.** Where the transfer implements a duly stamped SPA, the Stamp Act takes the property's market value at the date the SPA was signed, not the date the title was issued. (Source: Stamp Act 1949 s.12A(b); checked 1 Oct 2026.)
- **The RM10 cap for subsale buyers.** If you bought before the title was issued and your deed of assignment (absolute) was already stamped ad valorem, the later Form 14A from the developer is charged no more than RM10. (Source: Stamp Act 1949 s.20(5); checked 1 Oct 2026.)
- **First-home exemption.** First-time Malaysian buyers of a home up to RM500,000 may be exempt from MOT duty where the SPA falls within the exemption window, currently SPAs signed from 1 January 2021 to 31 December 2027. Ask your lawyer to confirm eligibility before stamping. Our [stamp duty guide](/resources/stamp-duty-malaysia-2026) sets out the conditions.

## Frequently Asked Questions (FAQ)

### Q: What is perfection of transfer and charge?

Perfection of transfer is registering Form 14A to move a newly issued individual title from the developer into the buyer's name. Perfection of charge is registering Form 16A so the buyer's bank holds a registered charge over that title. Both happen after the individual strata or land title is issued, and they are usually presented at the land office together.

### Q: How much are the legal fees for perfection of transfer?

Under the SRO 2023, the lawyer who handled your original purchase may charge no more than 25% of the applicable scale fee, and a new lawyer up to 50%, subject to the minimum fee. On a RM500,000 home under the Table A scale that is at most RM1,562.50 or RM3,125, plus 8% service tax and disbursements. Perfection of charge is priced the same way on the loan amount.

### Q: What is the difference between perfection of transfer and the MOT?

The MOT (Memorandum of Transfer, Form 14A) is the document. Perfection of transfer is the full process around it: the developer executes the MOT, it is stamped at LHDN, and it is registered at the land office. When people say "MOT" in conversation, they often mean the stamp duty paid on that document.

### Q: Do I pay MOT stamp duty again at perfection if I bought a subsale unit before the title was issued?

Usually not in full. If you took a deed of assignment from the previous owner and it was stamped ad valorem, the later Form 14A from the developer to you is capped at RM10 under section 20(5) of the Stamp Act. If you bought directly from the developer and no ad valorem duty has been paid yet, MOT duty is due when Form 14A is stamped, based on the value at the SPA date.

### Q: What happens if I ignore the developer's notice and don't do perfection of transfer?

The developer stays the registered owner of your unit. That makes it harder to sell, refinance or transmit the property on death, because buyers and banks generally want a registered title. Some developers also charge fees for holding documents or for later processing; whether they can do so depends on your SPA, so check it and ask your lawyer to complete perfection promptly.

### Q: Can I sell my property if I haven't done perfection of transfer?

Yes. A sale before the title is registered in your name is usually done by deed of assignment, with the developer's consent where the SPA requires it, and the buyer's lawyer then handles perfection later. It typically involves extra documents and developer fees, and it can take longer than a sale with a registered title. If you are shopping for a completed subsale home, for example among [homes for sale in Shah Alam](/area/selangor/shah-alam), ask the seller's lawyer whether the individual title is already registered in the seller's name.

### Q: What is a memorandum of charge (Form 16A)?

Form 16A is the statutory charge document under the National Land Code. It records that the property is security for your housing loan. Once registered, the bank is the chargee on the title and normally keeps the issue document of title until the loan is fully repaid and a discharge of charge is registered.

### Q: Who pays for perfection of transfer and charge?

The purchaser normally pays both: the lawyer's fees and disbursements for the transfer, any MOT stamp duty, and the bank's panel lawyer's fees for the charge. Some banks or developers absorb part of the cost as a promotion, so check your loan offer letter and SPA before you pay.
